Acceptance

By accessing or using axs.solutions (the "Site") or any AXS Solutions product or API (the "Services"), you agree to these Terms of Use. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use the Site or Services.

Use of the Services

Subject to these Terms and any applicable subscription agreement, AXS grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Services or underlying APIs.
  • Sublicense, resell, or redistribute the Services or any data obtained through them.
  • Use the Services to build a competing product or service.
  • Attempt to gain unauthorized access to systems, accounts, or data.
  • Interfere with the proper functioning of the Site or Services.
  • Upload content that is unlawful, defamatory, or infringes on third-party rights.

Enterprise use of AXS products and APIs is governed by a separate subscription agreement. In the event of conflict, the subscription agreement controls.

Accounts and credentials

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

Intellectual property

All content, software, data structures, APIs, documentation, trademarks, and trade dress on the Site and within the Services are the property of AXS Solutions or its licensors. Nothing in these Terms grants you any right, title, or interest except the limited use rights expressly stated herein.

If you use AXS data or outputs in derivative works (reports, presentations, analyses), you agree to include the attribution: "Source: AXS Solutions" in a reasonable and visible manner.

Data and accuracy

AXS Solutions aggregates and resolves payer, formulary, and coverage data from multiple sources. While we strive for accuracy, data sources may change without notice and we cannot guarantee completeness or real-time accuracy. You acknowledge that AXS data is informational and should not be the sole basis for clinical, coverage, or reimbursement decisions without independent verification.

Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AXS does not warrant that the Services will be uninterrupted, error-free, or virus-free.

Limitation of liability

To the maximum extent permitted by law, AXS Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the Site or Services — regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless AXS Solutions and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Third-party links

The Site may contain links to third-party websites. AXS is not responsible for the content, privacy practices, or availability of those sites.

Modifications

We may revise these Terms at any time by posting updates on this page. Material changes will be noted with an updated "Last updated" date. Continued use after changes constitutes acceptance.

Termination

AXS may suspend or terminate your access to the Site or Services at any time, with or without cause, and without prior notice. Provisions relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
